These Legal Terms constitute a legally binding agreement made between you and Eclat Steps concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

5. USER GENERATED CONTRIBUTIONS

For custom designs uploaded by users, you retain ownership but grant us a non-exclusive license to print and fulfill your order. You are responsible for ensuring your contributions do not infringe on any third-party rights.

6. CONTRIBUTION LICENSE

We do not assert ownership over your contributions. However, by submitting feedback or suggestions, you agree that we can use and share such feedback for any purpose without compensation to you.

7. SERVICES MANAGEMENT

We reserve the right to monitor the Services for violations, take legal action, and manage the Services to protect our rights and facilitate proper functioning.

8. TERM AND TERMINATION

These Legal Terms shall remain in effect while you use the Services. We reserve the right to deny access or terminate your use of the Services at any time, without notice, for any reason including breach of terms.

9. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify or remove contents of the Services at any time for any reason without notice. We will not be liable for any downtime, interruptions, or errors in the Services.

10. GOVERNING LAW

These Legal Terms shall be governed by the laws of the United States of America. You consent to the exclusive jurisdiction of the federal and state courts located in the United States to resolve any disputes.

11. DISPUTE RESOLUTION

Informal Negotiations: Parties will attempt to resolve disputes informally for 30 days.
Binding Arbitration: If unresolved, disputes will be settled by binding arbitration administered by the American Arbitration Association (AAA) in New York, USA.

12. CORRECTIONS

We reserve the right to correct any typographical errors, inaccuracies, or omissions on the Services and to update information at any time without prior notice.

13. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK.

14. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE BE LIABLE FOR ANY DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES. OUR LIABILITY TO YOU WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU DURING THE SIX (6) MONTH PERIOD PRIOR TO THE CLAIM.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold Eclat Steps and We Can Custom LLC harmless from any loss, damage, or demand arising out of your use of the Services or breach of these Terms.

16. USER DATA

We maintain data you transmit for managing the Services. You are solely responsible for all data relating to your activity and waive any right of action against us for any loss or corruption of such data.

17. ELECTRONIC COMMUNICATIONS

You consent to receive electronic communications from us and agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communication be in writing.

18. MISCELLANEOUS

These Legal Terms and any policies posted by us constitute the entire agreement between you and us. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services.
